| These Terms and Conditions of Use apply to the Quantitative Finance Society (herein referred to as QFS) web site (located at http://www.quantfs.com/), the Stern School of Business, New York University extracurricular club, as well as all associated sites and groups linked to http://www.quantfs.com/ by QFS, its subsidiaries and affiliates, including international QFS sites. This site is property of Varun Dube. By using this site, you agree to these terms of use; if not, do not use the site. |
| How QFS May Modify This Agreement |
| QFS reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the site following the posting of changes will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, QFS grants you a personal non-exclusive, non-transferable, limited privilege to enter and use the site. |
| Restriction on Use of Material |
All materials contained in any QFS site are the copyrighted property of Varun Dube. All trademarks, service marks, trade names, and trade dress are proprietary to Varun Dube.
No material from any QFS site or any Internet site owned, operated, licensed, or controlled by us may be copied reproduced, republished, uploaded, posted, transmitted, sold, or distributed in any way without the QFS and Varun Dube's signed consent. You may download one copy of the materials on any single computer for your personal, noncommercial home use only, provided that:
- you keep intact all copyright and other proprietary notices
- you make no modifcations to the materials and then claim it as your own
- you do not use the material in a manner that suggests any association with any of our products, services, or brands, and
- you do not download quantities of mertials to a database that can be used to avoid future downloads from any QFS site
The use of any QFS material on any other website or computer environment without written consent is strictly prohibited |
| Your Use of the Site |
| You may use any "deep-link," "page-scrape," "robot," "spider," or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the site or any content with the QFS's and Varun Dube's written consent. You may not reproduce or circumvent the infrastructure or navigational structure of presentation of this site or any content contained to obtain or attempt to obtain any materials, documents, or information, through any means not purposely made publicly availiable through the site. QFS reserves the right to bar any such activity. |
| You may not attempt to gain unauthorized access to any portion or feature of the site, or any other systems or networks connected to the site or to any QFS server, or to any of the services offered on or through the site, by hacking, password "phishing," or by any other illegitimate means. |
| You agree that you will not take any action that imposes an unreasonable or disproportionately large load (DDOS) on the infrastructure of the site or the QFS's systems or networks, or any systems or networks connected to the site or to the QFS. |
| Areas of the site, which contain user or member opinions, solutions, or advice may not be used by you for commercial purposes. You acknowledge that we do not pre-screen content and that content publicly or privately transmitted or posted on or via the site by you or other users of the site is the sole responsibility of the person from which the content originated. We do not guarantee the accuracy, integrity or quality of such content. |

| Other Terms and Conditions |
| Additional terms and conditions may apply to purchases of goods or services and to specific portions or features of the site, including contests, promotions, or other similar features, all of which terms are made a part of these Terms of Use by this reference. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such service or feature. If there is a conflict between these Terms of Use and the terms posted for or applicable to a specific portion of the site or for any service offered on or through the site, the latter terms shall control with respect to your use of that portion of the site or the specific service. |
| Accounts, Passwords, and Security |
| Certain features or services offered on or through the site may require you to open an acocunt (including setting up a QFS account). You are entirely responsible for maintaining the confidentiality of your account information, including your password, and for any and all activity that occurs under your account. You agree to notify QFS immediately of any unauthorized use of your account or passowrd, or any other breach of security. However, you may still be held liable for losses incurred by QFS or any other user of or visitor to the site due to another's use of your QFS password or account. |
| You may not use anyone else's QFS password or account at any time without the express permission and consent of the holder of that QFS password or account. QFS cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations. |
| Disclaimers |
| QFS does not promise that the site or any content, service or feature of the site will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the site will provide specific results. The site and its content are delivered on an "as-is" and "as-availiable" basis. All information provided on the site is subject to change without notice. QFS cannot ensure that any files or other data you download or upload from or to the site will be free of viruses, spyware, adware, or any other types of mal-ware that may damage, contaminate, or delete content from your system. QFS disclaims all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantibility and fitness for a particular purpose. QFS disclaims any and all liability for the acts, omissions and conduct of any third parties in connection with or related to your use of the site and/or any QFS services. You assume total responsibility for your use of the site and any linked sites. Your sole remedy against QFS for dissatisfaction with the site or any content is to stop using the site or any such content. The limitation of relief is a part of the bargain between the parties. |

QFS reserves the right to do any of the following, at any time, without notice:
- to modify, suspend or terminate operation of or access to the site, or any portion of the site, for any reason
- to modify or change the site, or any portion of the site, and any applicable policies or terms
- to interrupt the operation of the site, or any portion of the site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

| Limitation or Liability |
| Except where prohibited by law, in no event will QFS be liable to you for any indirect, consequential, exemplary, incidental or punitive damages, including lost profits, even if QFS has been advised of the possiblity of such damages. |
If, notwithstanding the other provisions of these Terms of Use, QFS is found to be liable to you or any damage or loss which arises out of or is in any way connected with you use of the site or any content, QFS's liability shall in no event excess the greater of:
- the total of any subscription of similar fees with respect to any service feature of or on the site paid in the six months prior to the date of the initial claim made against QFS (but not including the purchase price for any QFS software products)
- US$50.00
Some jurisdictions do not allow limitations of liability, so the foregoing limitation may not apply to you. |
| Indemnity |
| You agree to indemnify and hold QFS, its offers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates, harmless from any demands, loss, liability, claims or expenses including legal fees, made against QFS by any third party due to or arising out of or in connection with your use of the site. |
